Terms of Service

Please read these Terms of Service ("Terms") carefully before using MingoolAI. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use MingoolAI. These Terms constitute a legally binding agreement between you and MingoolAI, Inc., a Delaware corporation ("MingoolAI," "we," "us," or "our").

The Service

MingoolAI provides an AI-powered Chief of Staff platform that connects to your Gmail inbox and productivity tools to surface high-priority communications, generate briefings, and help solo founders stay on top of what matters.

We offer the following subscription tiers:

Standard ($9.99/month): Core access to MingoolAI features

Pro ($20/month): Full access including advanced AI features, priority processing, and multi-account support

Enterprise (Custom pricing): Tailored plans for teams and organisations; dedicated support and SLA; contact us at support@mingoolai.com

We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice.

Eligibility and Account Registration

To use MingoolAI you must:

Be at least 16 years of age

Have the legal capacity to enter into a binding contract

Not be prohibited from using the service under applicable law

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately at support@mingoolai.com if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account.

You may not create accounts on behalf of others without their explicit consent, or create multiple accounts to circumvent usage limits or restrictions.

Google and Gmail Integration

MingoolAI accesses your Gmail account through Google's OAuth 2.0 authorisation framework. By connecting your Google account, you:

Grant MingoolAI permission to read, process, and categorise your emails solely to deliver the service

Confirm that you have the authority to grant such access

Acknowledge that our use of Google user data complies with Google's API Services User Data Policy, including the Limited Use requirements

You may revoke MingoolAI's access to your Google account at any time through your Google account settings (myaccount.google.com/permissions) or from within the MingoolAI app. Revoking access will limit or disable core features of the service.

MingoolAI's use of data received from Google APIs is subject to the Google API Services User Data Policy and will not be used for any purpose other than providing and improving the MingoolAI service.

Subscriptions, Billing, and Cancellation

Free Trial

New users receive a 7-day free trial of the Pro tier. Payment information is required to start a trial. At the end of the trial period, you will be charged or your account will revert to the Free tier.

Paid Subscriptions

Paid subscriptions are billed monthly in advance. By providing payment details, you authorise MingoolAI to charge your payment method on a recurring basis until you cancel. All fees are in US Dollars (USD). Payments are processed by Stripe, Inc. We do not store your card details.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date.

Refunds

We do not offer refunds for partial billing periods except where required by applicable law (including consumer protection laws in your jurisdiction). If you believe you were charged in error, contact us within 14 days at support@mingoolai.com.

Price Changes

We may change our subscription pricing with at least 30 days' written notice to your registered email address. Continued use after the effective date constitutes acceptance of the new pricing.

User Content and Data

You retain full ownership of your content, including your emails and any data you provide to MingoolAI.

By using the service, you grant MingoolAI a limited, non-exclusive, worldwide, royalty-free licence to access, process, and analyse your content solely for the purpose of:

Delivering the features and functionality of the service to you

Improving service reliability and performance (using aggregated, anonymised data only)

This licence terminates when you delete your account or disconnect your integrations. We do not claim ownership over your content and will not use it for advertising, sale, or any purpose beyond delivering the service.

Your email content is never used to train AI models. Data sent to our AI API providers (Anthropic, OpenAI) is processed in real time under their API terms, which prohibit training on API-submitted data by default.

Acceptable Use

You agree not to use MingoolAI to:

Violate any applicable law or regulation

Transmit spam, malware, or any harmful content

Attempt to reverse-engineer, decompile, or extract the source code of our software

Access other users' accounts or data without authorisation

Circumvent usage limits, billing, or access controls

Use the service to build a competing product without our written consent

Impersonate any person or entity, or misrepresent your affiliation

Use automated tools to scrape, crawl, or extract data from the service

We reserve the right to suspend or permanently terminate any account that violates these terms, with or without notice depending on the severity of the violation.

Intellectual Property

MingoolAI and its underlying technology, brand, design, and content (excluding your user content) are the intellectual property of MingoolAI, Inc. and are protected by copyright, trademark, and other applicable laws.

Nothing in these Terms transfers ownership of MingoolAI's intellectual property to you. You are granted a limited, non-transferable, revocable licence to use the service for its intended purpose during the term of your subscription.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

The service will be uninterrupted, error-free, or fully secure

AI-generated summaries or prioritisations will be accurate or complete

The service will meet your specific requirements

You acknowledge that AI-generated outputs may contain errors and should not be relied upon as a substitute for your own judgment, particularly for time-sensitive or high-stakes decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINGOOLAI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of: (a) the amount you paid to MingoolAI in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless MingoolAI, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

Your use of the service in violation of these Terms

Your violation of any third-party rights, including intellectual property or privacy rights

Any content you submit to the service that causes harm to a third party

Termination

By You

You may delete your account at any time from your account settings. Upon deletion, we will remove your personal data within 30 days in accordance with our Privacy Policy, subject to data we are required to retain by law.

By MingoolAI

We may suspend or terminate your account if:

You violate these Terms

We are required to do so by law or court order

We reasonably believe your account poses a security risk

You have not used the service for 12 consecutive months (with prior notice)

Where possible, we will provide 14 days' written notice before termination, except in cases of material breach or security risk.

Effect of Termination

Upon termination, your right to use the service ends immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) shall remain in effect.

Dispute Resolution

Informal Resolution

Before initiating any formal legal proceedings, you agree to contact us at support@mingoolai.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration

Any dispute that cannot be resolved informally shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware or via remote hearing. You waive your right to participate in class action lawsuits or class-wide arbitration against MingoolAI.

Exceptions

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your account before the effective date.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MingoolAI regarding your use of the service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control, including internet outages, third-party API downtime, or acts of God.
